KB지주, 포스코·현대상선과 4500억 주식스왑

[이데일리 하수정 김국헌기자] KB금융(105560)지주가 포스코, 현대상선과 총 4500억원 규모의 지분을 맞교환했다.

이를 통해 국민은행은 단기 처분해야할 KB지주 지분을 모두 소화하게 됐고 국제결제은행(BIS) 자기자본비율도 11% 후반대로 올라섰다.

국민은행과 포스코(005490)는 19일 이사회를 열고 3000억원 규모의 지분을 맞교환하기로 결정했다. (관련기사 참조☞2008.12.19 08:50 (단독)KB지주-포스코, 3천억 지분 맞교환)

국민은행은 이날 보유하고 있던 KB지주 지분 2.35%(837만9888주)를 포스코 지분 0.89%(77만3195주)와 스왑했다.

이날 종가로 교환 비율을 정해, 교환 비율은 포스코 대 KB지주가 1 대 10.8로 결정됐다. 포스코는 1주당 38만8000원으로, KB금융지주 1주당 3만5800원으로 계산했다.

KB지주는 이날 현대상선(011200)과도 1500억원 어치 지분을 주고 받았다.

KB지주가 시간외 대량매매로 넘긴 지분은 1.18%(418만9944주)이며 이에 상당하는 현대상선 지분 3.3%(440만주)를 취득했다.

이번 포스코, 현대상선에 총 3.53% 주식을 넘기면서 지난 12일 국내외 투자자들에게 블록딜로 처분했던 3.3%와 합쳐 6.83%의 물량을 매각하게 됐다.

이에 따라 국민은행은 BIS 자기자본비율이 11.63%로 0.27%포인트 개선될 것으로 예상했다. 기본자본(Tier1) 비율도 9.62%로 0.04%포인트 오르는 효과가 있을 전망이다.

아울러 국민은행은 일본 미쓰이 스미토모에 KB지주 지분 2% 가량을 단계 매각하는 것과는 별도로 세계적인 금융그룹과도 주식 맞교환을 추진할 예정이다.

국민은행은 지주사 전환 과정에서 20.66%에 달하는 KB지주 지분을 보유하게 됐으며 이중 계열사로부터 넘겨받은 5.19%의 경우 취득후 6개월 이내인 내년 3월까지 처분해야 한다.

국민은행은 이번 매각으로 내년 3월까지 매각해야하는 지분을 모두 처리했다. 나머지는 3년내 매각하면 된다.

[사설]공무원 연금법 국회가 단단히 손봐야

The president’s cabinet approved a bill to amend the Government Employees Pension Act in a meeting yesterday. The bill was unchanged from the original that the committee for developing pension programs had proposed earlier, even though it was criticized for being too generous to public employees. The Ministry of Public Administration and Security explained that the bill was unchanged because public opinion supported it.

But the committee meetings were plagued by complaints. One member said that it was difficult to express his opinions in the civil servant-dominated committee. In hearings on national pension program reform on Oct. 14, unionized civil workers even stormed the place and caused chaos.

Participants said it was difficult to even hold the hearings, let alone listen to public opinion. Experts complain that efforts to reform the public pension system never had a chance. Some say that the reforms shouldn’t have been left to civil workers. Civil workers from the Ministry of Public Administration and Security served as committee organizers and representatives from civil workers’ organizations participated as members. This made it hard to argue that benefits for civil workers should be reduced.

Now it is up to the National Assembly. Reform of the public employee pension program is important because it will be followed by reform in pension programs for teachers at private schools and for professional soldiers.

The ruling and opposition parties must present a new bill to reform the pension program. The keys are sustaining equality and resolving deficits in the fund.

The committee says its bill is designed to increase individual fees and to lower benefits but civil workers still receive much bigger benefits after retirement than pensioners in general.

If the fund is managed the way it is now, in 10 years the deficit will be five times bigger than now. As the Korea Development Institute requires, individual fees must be increased by more than 10 percent and benefits must be lowered substantially in order to resolve the two key issues.

As the world economy suffers, all tighten their belts. Civil workers must do the same. They should be thankful that citizens have protected their jobs so far. They should stop asking for the impossible - that their lives after retirement be protected with taxpayer money. Civil servants must not even think of disrupting discussions at the National Assembly. The people’s patience is running out.



공무원 연금법 국회가 단단히 손봐야

공무원연금법 개정안이 어제 국무회의를 통과했다. 얼마전 연금제도발전위원회(연발위)가 제시한 원안 그대로다. 고통분담 의지가 부족하다는 비난 여론이 일었던 그 원안이 수정없이 통과됐다. 이에 대해 행정안전부는 “여론수렴 과정에서 이견이 없었기 때문”이라고 설명했다. 하지만 연발위 내부에서 조차 불만의 목소리가 나오고 있다. 한 전문위원은 “연발위를 장악한 공무원들의 반발에 제대로 의견 내기가 어려웠다"고 털어놨다.

지난 14일 열린 연금개혁 공청회에는 공무원 노조원들이 떼로 몰려와 난장판을 만들었다. "의사진행 조차 어려운 상황에서 무슨 의견수렴이냐"고 참석자들은 목소리를 높였다. 한 마디로 개정안 마련에서 여론수렴 과정까지 개혁의지를 제대로 담을 기회가 없었다는 게 전문가들의 불만이다. 심지어 일각에서는 "애당초 연금개혁 작업을 공무원들에게 맡기지 말았어야 했다"는 비판까지 나온다. 행안부 공무원들이 간사를 맡고, 공무원단체 대표들이 위원으로 참여한 연발위에서 공무원 처우를 깍아 내리는 의견이 받아들여지기 힘들다는 얘기다.

이제 공은 국회로 넘어 갔다. 공무원연금개혁은 뒤를 이을 사학#8231;군인연금 개혁의 시금석이 된다는 점에서 매우 중요하다. 여야는 처음부터 판을 다시 짠다는 자세로 개혁안 다운 안을 만들어 제시해야 한다.개혁의 골자는 국민연금과 형평성 유지와 적자재정 해소다. 연발위 안이 본인 부담을 늘리고 수령액도 낮추었다고 하지만 그래도 국민연금 가입자보다 노후 혜택이 훨씬 크도록 설계됐다. 또 그대로 시행될 경우 10년후엔 연금재정 적자가 현재의 5배로 치솟는다. KDI의 주문처럼 본인 부담 보험료율을 종전보다 10% 이상으로 올리고, 지급율도 크게 낮춰야 두가지 문제를 해결할 수 있다. 세계적인 경제난으로 모두가 허리띠를 졸라 메고 있다. 공무원들도 당연히 고통분담에 동참해야 한다. 그렇지 않아도 공무원의 철밥통에 대해 비난이 많은데 혈세로 노후까지 보장하라니 후안무치하다. 추호라도 국회 논의과정을 방해할 생각은 버려라.국민의 인내심에도 한계가 있다.

What Does Over-The-Counter - OTC Mean?
A security traded in some context other than on a formal exchange such as the NYSE, TSX, AMEX, etc. The phrase "over-the-counter" can be used to refer to stocks that trade via a dealer network as opposed to on a centralized exchange. It also refers to debt securities and other financial instruments such as derivatives, which are traded through a dealer network. Investopedia explains Over-The-Counter - OTC...
In general, the reason for which a stock is traded over-the-counter is usually because the company is small, making it unable to meet exchange listing requirements. Also known as "unlisted stock", these securities are traded by broker-dealers who negotiate directly with one another over computer networks and by phone.

Although Nasdaq operates as a dealer network, Nasdaq stocks are generally not classified as OTC because the Nasdaq is considered a stock exchange. As such, OTC stocks are generally unlisted stocks which trade on the Over the Counter Bulletin Board (OTCBB) or on the pink sheets. Be very wary of some OTC stocks, however; the OTCBB stocks are either penny stocks or are offered by companies with bad credit records.

Instruments such as bonds do not trade on a formal exchange and are, therefore, also considered OTC securities. Most debt instruments are traded by investment banks making markets for specific issues. If an investor wants to buy or sell a bond, he or she must call the bank that makes the market in that bond and asks for quotes.
